End-User License Agreement

This End-User License Agreement ("EULA" or "Agreement") is a binding legal agreement between you (either an individual or a single entity, "you" or "User") and Freedom Wallet Ltd ("Company", "we", "us", or "our") for the Freedom Wallet application, a self-custodial cryptocurrency wallet for Zano, Monero, and fUSD, together with any associated software, media, and electronic documentation (collectively, the "App"). By downloading, installing, accessing, or using the App, you agree to be bound by the terms of this EULA. If you do not agree, do not download, install, access, or use the App.

Subject to your continued compliance with the terms and conditions of this EULA, the Company grants you a revocable, non-exclusive, non-transferable, non-sublicensable, limited license to download, install, and use the App on devices that you own or control, for your personal and business use. This license permits you to use the functionality of the App, including generating and managing self-custodial wallets, sending and receiving supported assets, swapping, running payroll, viewing transaction history, and using address aliases, in the manner expressly permitted by this EULA.

You agree that you will not, and will not permit any third party to:

• Redistribute or exploit. License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the App, or make the App available to any third party.
• Reverse engineer. Modify, translate, adapt, create derivative works from, disassemble, decrypt, reverse compile, or reverse engineer any part of the App, except to the limited extent that applicable law expressly permits despite this restriction.
• Remove notices. Remove, alter, or obscure any proprietary notice (including any copyright, trademark, or patent notice) of the Company, its affiliates, partners, suppliers, or licensors.
• Circumvent controls. Use the App to develop a competing product, or circumvent, disable, or otherwise interfere with any security, licensing, or access-control feature of the App.
• Unlawful use. Use the App in any manner that violates applicable law, or in connection with any illegal, fraudulent, or malicious activity.

The App and its entire contents, features, and functionality — including all source code, object code, databases, software, user interfaces, designs, text, graphics, logos, icons, images, and the "Freedom Wallet" name and marks — are and shall remain the exclusive property of the Company and its licensors, and are protected by copyright, trademark, and other intellectual property laws. This EULA grants you only a limited right to use the App and does not transfer any ownership interest. All rights not expressly granted to you are reserved by the Company. The underlying blockchain protocols and any open-source components incorporated into the App remain subject to their respective licenses.

The App may include or interface with third-party and open-source software components that are licensed under their own terms. Nothing in this EULA limits your rights under, or grants you rights that supersede, the terms of any applicable open-source license. A list of such components and their licenses may be made available within the App or upon request.

The App is provided free of charge for its functionality, and the Company does not charge you any subscription, licensing, or usage fees to download or use the App. The App does not include any in-app purchases or auto-renewable subscriptions. The only costs associated with using the App are the network (miner) fees required by the underlying blockchain networks to process transactions, which are paid to the network and not to the Company.

The Company may, at its discretion, provide updates, upgrades, bug fixes, or new versions of the App. Such updates may be automatically installed subject to your device settings and may modify or remove features. This EULA governs any updates unless a separate license accompanies them. The Company is under no obligation to provide maintenance, support, or continued availability of the App or any of its features.

Freedom Wallet is a self-custodial wallet. The Company does not hold, store, transmit, or have access to your private keys, seed phrase (recovery phrase), passwords, or cryptocurrency funds. Your keys and funds are stored locally on your device and remain solely under your control. The Company cannot recover a lost or forgotten seed phrase or password, cannot reverse a transaction, and cannot restore access to a wallet. You are solely responsible for securely backing up your seed phrase and for the security of your device. Loss of your seed phrase will result in permanent and irreversible loss of access to your funds.

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED. NOTHING IN THIS EULA EXCLUDES OR LIMITS ANY WARRANTY OR LIABILITY THAT MAY NOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, CRYPTOCURRENCY, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR USE OF OR INABILITY TO USE THE APP; (II) ANY LOSS OF FUNDS OR PRIVATE KEYS; (III) ANY UNAUTHORIZED ACCESS TO YOUR DEVICE OR WALLET; OR (IV) ANY BUGS, VIRUSES, OR THE LIKE. NOTHING IN THIS SECTION EXCLUDES LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FOR FRAUD, OR FOR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

This EULA is effective until terminated. The Company may terminate or suspend this EULA and your license immediately, without notice, if you fail to comply with any of its terms. You may terminate this EULA at any time by ceasing all use of the App and deleting all copies from your devices. Upon termination, all rights granted to you under this EULA will cease, and you must stop using and delete the App. Sections concerning intellectual property, disclaimers, limitation of liability, and governing law survive termination. Termination does not affect the funds stored in your self-custodial wallet, which remain accessible via your seed phrase in any compatible wallet.

You represent that you are not located in, and are not a national or resident of, any country or territory subject to comprehensive sanctions, and that you are not on any government list of prohibited or restricted parties. You agree to comply with all applicable export control and sanctions laws in connection with your use of the App.

This EULA and any dispute or claim arising out of or in connection with it or its subject matter shall be governed by and construed in accordance with the laws of Nevis. You and the Company agree to submit to the exclusive jurisdiction of the courts of Nevis, without prejudice to any mandatory consumer protection rights available to you in your country of residence.

This EULA, together with the Freedom Wallet Terms of Service and Privacy Policy, constitutes the entire agreement between you and the Company regarding the App and supersedes all prior or contemporaneous agreements and understandings. If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The Company's failure to enforce any right or provision will not be deemed a waiver of that right or provision.
